End User License Agreement

IMPORTANT: READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

This End User License Agreement ("EULA") is a legal agreement between you ("User", "you") and Maxenergic ("Company", "we", "us") for the use of Max IEC Gateway software ("Software"). By installing, copying, or using the Software, you agree to be bound by the terms of this EULA.

1. GRANT OF LICENSE

Subject to the terms of this EULA, we grant you a non-exclusive, non-transferable license to:

  • Install and Use: Install and use the Software on up to three (3) computers owned or controlled by you
  • Backup: Make one (1) copy of the Software for backup purposes

2. LICENSE TYPES

2.1 Trial License

The trial license permits evaluation of the Software for thirty (30) days. Trial usage is limited to fifteen (15) minute sessions. The trial license is for evaluation purposes only and may not be used in production environments.

2.2 Commercial License

A commercial license removes trial restrictions and permits:

  • Unlimited session duration
  • Production use
  • Installation on up to three (3) devices
  • One (1) year of free updates
  • Priority technical support

3. RESTRICTIONS

You may NOT:

  • Copy or duplicate the Software except as expressly permitted
  • Modify, translate, adapt, or create derivative works
  • Reverse engineer, disassemble, decompile, or attempt to derive source code
  • Rent, lease, lend, sell, or sublicense the Software
  • Remove, alter, or obscure any proprietary notices
  • Use the Software for any unlawful purpose
  • Transfer the license without prior written consent
  • Use the Software on more devices than licensed
  • Circumvent or disable license verification mechanisms

4. LICENSE VERIFICATION

The Software includes license verification technology that:

  • Binds the license to specific hardware devices
  • Periodically verifies license validity online
  • May disable functionality if verification fails

The Software may operate offline for up to thirty (30) days between verifications. Internet connectivity is required for initial activation.

5. INTELLECTUAL PROPERTY

The Software is protected by copyright and other intellectual property laws. We retain all rights, title, and interest in the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks or service marks.

6. THIRD-PARTY COMPONENTS

The Software includes third-party open-source components subject to their respective licenses:

  • lib60870 - Licensed under GPLv3 with linking exception
  • NModbus - Licensed under MIT
  • .NET Runtime - Licensed under MIT
  • Other components as documented in the Software

7. UPDATES AND SUPPORT

Your license includes one (1) year of free updates from the date of purchase. After this period, you may continue using your current version or purchase an update subscription for access to new versions. We reserve the right to modify or discontinue the Software at any time.

8. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. INDUSTRIAL USE WARNING

IMPORTANT: The Software is designed for industrial protocol conversion. You acknowledge that:

  • The Software should be thoroughly tested before production deployment
  • You are responsible for proper configuration and safety measures
  • The Software is NOT designed for safety-critical or life-support applications
  • Failure of the Software could result in equipment damage or operational disruption

11. TERMINATION

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term. Upon termination, you must:

  • Cease all use of the Software
  • Destroy all copies of the Software
  • Delete the Software from all devices

12. EXPORT COMPLIANCE

You agree to comply with all applicable export laws and regulations. You may not export or re-export the Software to any prohibited country or person.

13. GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Maxenergic operates, without regard to conflicts of law principles.

14. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and us regarding the Software and supersedes all prior agreements and understandings.

15. SEVERABILITY

If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.
