Terms of Service

1. Acceptance of terms

By downloading, installing or using Max IEC Gateway (the "Software") or buying a license from Max Energic Apps ("Maxenergic", "we", "us"), you agree to these Terms of Service. If you do not agree, do not use the Software. Use of the Software is also governed by the End User License Agreement.

2. License grant

Subject to these Terms we grant you a non-exclusive, non-transferable, limited license to:

  • use the Software for your own business purposes, including production use with a paid license;
  • activate the Software on one (1) computer at a time per license;
  • make one backup copy for archival purposes.

3. License restrictions

You may not:

  • copy, modify or distribute the Software except as expressly permitted;
  • reverse engineer, decompile or disassemble the Software, except where the law allows it;
  • rent, lease, lend or sublicense the Software;
  • circumvent or disable license verification;
  • remove or alter any proprietary notices;
  • transfer the license to another party without our written consent.

4. Trial

The trial is free and intended for evaluation only. It is limited to 30 days from first start on a computer and to sessions of 15 minutes; restart the Software to begin a new session. After the trial you need a paid license to continue using the Software.

5. Price and payment

A lifetime license costs US$150 as a one-time payment, due at purchase. Payments are processed by PayPal; we do not receive or store card details. Your license key is shown after payment and sent to the email address you enter at checkout.

6. Refund policy (30-day money-back guarantee)

If you are not satisfied with the Software, email support@maxenergic.com within 30 days of purchase with your PayPal order or transaction ID and we will refund the full purchase price to the original payment method. No reason is required. When a refund is issued, the license key is revoked and all its activations are deactivated.

7. Updates and support

Your license includes, at no extra cost:

  • all future updates and new versions of Max IEC Gateway (lifetime free updates);
  • email technical support at support@maxenergic.com.

We may change or discontinue features in future versions. Your right to use a version you already have is not affected.

8. Activation and device limit

Each license can be active on one (1) computer at a time. Activation and a periodic online check require an internet connection; the Software keeps working offline for up to 30 days between checks. To move the license, click Deactivate on the License page of the Software on the current computer, or release the current computer in the license portal (license key and purchase e-mail; up to 5 releases per 30 days) and then activate the key on the new computer. If the old computer is broken or the limit is reached, contact support and we will release it. Replacing parts of a computer keeps its activation as long as the motherboard stays the same.

9. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM THE USE OF THE SOFTWARE. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENSE.

11. Industrial use

The Software converts industrial communication protocols. You are responsible for:

  • configuring and testing it before production use;
  • complying with applicable safety standards and regulations;
  • protecting the gateway and its network (firewalls, access control, network segmentation);
  • backups of your configuration.

The Software is not designed for safety-critical functions where failure could result in death, personal injury or severe damage to property or the environment.

12. Termination

We may terminate your license if you breach these Terms. On termination you must stop using the Software and delete all copies. Sections on warranties, liability and governing law survive termination.

13. Changes to these terms

We may update these Terms. Changes are posted on this page with a new date. Continued use after a change means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Maxenergic operates. Mandatory consumer protection laws of your country are not affected.
