1. Acceptance of Terms

By accessing or using Max IEC Gateway software ("Software") and related services provided by Maxenergic ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. License Grant

Subject to these Terms, we grant you a non-exclusive, non-transferable, limited license to:

  • Use the Software for your internal business purposes
  • Install the Software on up to three (3) devices per license
  • Make one backup copy for archival purposes

3. License Restrictions

You may not:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, or sublicense the Software
  • Use the Software to develop competing products
  • Remove or alter any proprietary notices or labels
  • Transfer the license to another party without our consent

4. Trial License

The trial version of the Software is provided free of charge for evaluation purposes only. The trial is limited to:

  • 30 days from first installation
  • 15-minute session duration limit
  • Single device installation

After the trial period expires, you must purchase a license to continue using the Software.

5. Payment and Refunds

License fees are due at the time of purchase. All payments are processed securely via PayPal. We offer a 30-day money-back guarantee. If you are not satisfied with the Software, contact us within 30 days of purchase for a full refund.

6. Updates and Support

Your license includes:

  • One (1) year of free software updates from the date of purchase
  • Email-based technical support
  • Access to documentation and knowledge base

After the first year, you may optionally purchase an update subscription for continued access to new versions.

7. Device Binding

Each license is bound to specific hardware devices. You may activate the Software on up to three (3) devices. If you need to transfer an activation to a new device, contact support for assistance.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE LICENSE.

10. Industrial Use Disclaimer

The Software is designed for industrial protocol conversion. You are solely responsible for:

  • Proper configuration and testing before production use
  • Compliance with applicable safety standards and regulations
  • Implementation of appropriate security measures
  • Backup and recovery procedures

The Software is not designed for safety-critical applications where failure could result in death, personal injury, or severe property damage.

11. Termination

We may terminate your license if you breach these Terms. Upon termination, you must destroy all copies of the Software. Sections regarding warranties, liability, and governing law survive termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the new Terms on our website. Your continued use of the Software after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Maxenergic operates. Any disputes shall be resolved in the courts of that jurisdiction.
